  • Litigation & Advocacy

    Commercial supply dispute

    Sector: Retail and trade

    Challenge
    A trading business received goods that did not match the agreed specifications, and the supplier refused to replace them or refund the price.
    Approach
    We gathered the correspondence and delivery records, served a formal legal notice, then filed a claim before the Commercial Court seeking compensation for the proven loss.
    Outcome
    A judgment was issued in the business’s favour for a substantial part of the claim, and we followed through with the enforcement procedures.
  • Corporate & Business

    Reorganising a family business

    Sector: Family businesses

    Challenge
    A disagreement among the founding partner’s heirs over management and profit distribution, with no articles of association governing these matters.
    Approach
    We held sessions with the partners and proposed amended articles of association and a partners’ agreement governing management, voting and the transfer of shares.
    Outcome
    The partners adopted the amendments, which were notarised, and the causes of disagreement narrowed without recourse to the courts.

    Reviewing a construction contract before signing

    Sector: Contracting and construction

    Challenge
    A construction contract drafted by the project owner contained a high penalty clause and unilateral termination terms.
    Approach
    We reviewed the contract in light of the Civil Transactions Law, delivered a risk report with alternative wording, and supported the client in negotiations.
    Outcome
    The contract was signed after the termination clauses were amended and a reasonable cap was set on agreed compensation.
  • Foreign Investment

    Entering the Saudi market

    Sector: Technology and telecommunications

    Challenge
    A foreign company wished to establish an entity in Riyadh and was unsure of the requirements after the new Investment Law came into force.
    Approach
    We prepared a requirements roadmap, reviewed activity restrictions, handled investment registration, incorporation and commercial registration, then drafted the first employment contracts.
    Outcome
    The company began operating in the Kingdom after completing the required registrations.

    Powers of attorney and corporate documents

    Sector: Real estate and development

    Challenge
    A business needed several powers of attorney and a notarised partners’ resolution within a short time to complete a transaction.
    Approach
    We reviewed the representatives’ authority under the articles of association, drafted the scope of each power of attorney precisely, and arranged a single notarisation appointment.
    Outcome
    The powers of attorney and the resolution were notarised electronically on the required date.
  • Amicable Settlement

    A dispute between partners

    Sector: Professional services

    Challenge
    A dispute between two partners over one partner’s exit and the valuation of his share, with both wishing to avoid litigation.
    Approach
    We represented one party in structured negotiation sessions and proposed an independent valuation mechanism and a payment schedule.
    Outcome
    The dispute ended in a notarised settlement agreement, in keeping with the principle that “reconciliation is best”.
